Terms of Service

Foremio is a software-as-a-service (SaaS) platform designed for contractors and construction businesses. The service includes tools for creating estimates, generating material lists, managing projects, tracking clients, sending invoices, processing blueprint takeoffs, and related workspace features. We may add, modify, or remove features from time to time.

Foremio is provided on a subscription basis. Access to certain features requires an active paid subscription. A free tier with limited project capacity may be available at our discretion.

You must be at least 16 years old and capable of forming a binding contract to use Foremio. You are responsible for providing accurate information when creating your account and for maintaining the security of your login credentials.

You may sign up using an email address and password, or through supported social authentication providers (currently Google; Apple authentication may be added in the future). You are responsible for maintaining the security of any third-party account used to access Foremio.

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

Foremio offers subscription plans on a recurring monthly basis. Subscription fees are billed in advance and are non-refundable except where required by law or as explicitly stated in a promotional offer.

All payments are processed through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your designated payment method for the subscription fee and any applicable taxes. You agree to provide current, complete, and accurate billing information.

If a payment fails, we may suspend your access to paid features until the payment issue is resolved. We reserve the right to change subscription prices upon reasonable notice. Price changes take effect at the next billing cycle.

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. We do not provide partial refunds for unused portions of a billing period.

You are solely responsible for the accuracy and legality of all data you enter into Foremio, including client information, project details, estimates, invoices, and uploaded files. Foremio does not verify the accuracy of construction calculations, material quantities, or pricing — these are tools to assist your professional judgment.

You are responsible for ensuring that your use of Foremio complies with all applicable laws, regulations, and professional standards in your jurisdiction, including tax reporting obligations, licensing requirements, and data protection laws.

You must maintain adequate backups of your critical business data. While we take measures to protect your data, you should not rely on Foremio as your sole record-keeping system for legally or financially critical information.

You agree not to use Foremio for any unlawful purpose or in any way that could damage, disable, overburden, or impair the service. Specifically, you may not:

• Use the service to send spam, phishing attempts, or unsolicited communications.
• Upload or transmit viruses, malware, or other malicious code.
• Attempt to gain unauthorized access to any part of the service, other user accounts, or our underlying systems.
• Reverse engineer, decompile, or disassemble any portion of the software.
• Use automated scripts, bots, or scrapers to access or extract data from the service without our express written permission.
• Resell, sublicense, or commercially exploit access to the service without authorization.
• Upload content that infringes on intellectual property rights, violates privacy, or is defamatory, obscene, or harassing.

We reserve the right to suspend or terminate accounts that violate these acceptable use rules or that engage in fraudulent or abusive behavior.

Foremio and its underlying software, designs, logos, trademarks, and content (excluding your workspace data) are owned by Foremio and its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the service in accordance with these terms.

You retain all ownership rights to the data you create, upload, or store in Foremio, including blueprints, plans, estimates, invoices, client lists, and project information. We do not claim ownership over your workspace content.

You grant us a limited license to host, store, and process your data solely for the purpose of providing and improving the service. This license terminates when you delete the relevant data or close your account, except where we are legally required to retain copies.

We aim to maintain high availability of the Foremio service, but we do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or factors beyond our reasonable control (including internet outages, third-party failures, or force majeure events).

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

We may release updates, new features, or bug fixes from time to time. These updates may change the appearance or functionality of the service and are provided at our discretion.

Foremio is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the service will be error-free, secure, or free from viruses or other harmful components.

Construction estimates, material lists, and calculations generated through Foremio are tools to assist your workflow. You are responsible for verifying all quantities, prices, and specifications before placing orders or commencing work. Foremio is not a substitute for professional engineering, architectural, or legal advice.

To the maximum extent permitted by applicable law, Foremio and its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or replacement costs, arising out of or in connection with your use of the service.

Our total liability for any claim arising out of or relating to these terms or your use of Foremio shall not exceed the total amount you paid to Foremio in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred US dollars (USD $100) if you have not paid any fees.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.

You agree to indemnify and hold harmless Foremio and its affiliates, officers, agents, and employees from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or relating to your use of the service, your violation of these terms, or your violation of any rights of a third party.

You may close your Foremio account at any time from your account settings or by contacting support. Upon termination, your access to the service will cease, and we may delete your data in accordance with our data retention practices described in the Privacy Policy.

We may suspend your account or suspend your access if you violate these terms, fail to pay fees when due, or if required by law. We will make reasonable efforts to notify you before termination for violations, except in cases of fraud, abuse, or legal emergency.

Sections of these terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these terms or your use of Foremio shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction and venue of these courts.

Before filing any formal legal action, you agree to attempt to resolve the dispute informally by contacting us at the email address below. We will endeavor to respond within 30 days.

We may revise these Terms of Service from time to time. Material changes will be notified by email or through a prominent notice in the application at least 30 days before they take effect, unless the changes are required by law or relate to new features. Your continued use of Foremio after the effective date of revised terms constitutes your acceptance.
